This Terms of Use is a contract between your Business ("you") and Hectovault OÜ ("Terms"), which defines the terms and conditions governing your use of Hectovault website ("Website") and any services, products, or tools provided by Hectovault (together with the Website are referred to as "Services").

Reference to "you" includes each person with access to the Hectovault Services, the sole trader, freelancer, limited or public company, partnership, or a charity or trust. Authorised users agree that they're acting on behalf of the limited company, sole trader, freelancer, limited or public company, partnership, or a charity or trust.

By accessing or using our Services, you agree to these Terms. If you do not agree to these Terms, you must discontinue your use of the Services immediately.

2. How Terms of Use, Privacy Policy, and Cookie Policy Work Together

These Terms of Use work alongside our Privacy Policy and Cookie Policy to govern your use of the Services. By using Hectovault, you acknowledge and agree to these policies. In case of any inconsistency, these Terms of Use shall prevail.

3. About the Service

3.1 Subscription Service

Hectovault provides a subscription-based service for equity, stakeholder and general company management. Subscription details, including fees and billing cycles, are available during sign-up.

3.2 Single Account Policy

Each entity is permitted to open and maintain only one account and profile. All account holders are personally obligated to comply with these Terms.

3.3 Confirmation of Authority

You must ensure that you have the necessary authority to represent the business for which you use our Services, and the business agrees to these Terms. We reserve the right to request proof of your authority at any time. If you cannot provide acceptable proof, we may suspend or close your account, restrict access to the Services, or allow access to another party who can demonstrate such authority.

3.4 Access for Authorised Representatives

You may grant access to others (referred to as "Authorised Users") to manage your account or use our Services on behalf of your business (but not for personal use). By providing access to an Authorised User, you agree that we will treat their actions as if they were your own under these Terms. You accept full responsibility for any actions taken by Authorised Users, even if they exceed the authority you granted. Assigning permissions does not absolve you of your obligations under these Terms, including the responsibility to notify us if your account is compromised or accessed without authorisation.

4. Data

4.1 Ownership of Data

You retain ownership of all data you upload to Hectovault. Hectovault will not use your data for any purpose other than providing, improving or developing the Services.

4.2 Accuracy

You are responsible for ensuring that any data provided to Hectovault is accurate, complete, and up-to-date.

4.3 Data Export

You may export your data at any time during your subscription. Upon termination, data export may be subject to restrictions outlined in the Consequences of Termination section.

4.4 Intellectual Property

Hectovault retains and exclusively own all rights, titles, and interests in any software (including but not limited to the app, Website, API, developer tools, sample code, and code libraries), data, materials, content, and documentation (whether printed or electronic, such as specifications and integration guides) that we or our affiliates develop, provide, or make available to you. This includes the content of the Website and any technology or content derived from these resources (referred to as "Hectovault Materials"), as well as our Services. The Hectovault Materials and Services are safeguarded by intellectual property laws and international agreements. All such rights remain solely with Hectovault.

Authorized Use of Hectovault Resources

You may only use Hectovault Materials with our prior written consent and strictly for the purpose of accessing and using our Services. Provided you comply with these Terms and pay any applicable fees, Hectovault grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable, royalty-free license to access and use the Hectovault Materials and Services for personal purposes. Any use beyond what is explicitly permitted in these Terms is prohibited. This license will be revoked if you violate the terms of these Terms or any related policies.

Prohibited Use of Hectovault Resources

Without our prior written approval, you are not allowed to, and may not attempt to, directly or indirectly:

Use the Hectovault Materials for commercial purposes or in a way that infringes on our intellectual property rights;
Transfer, sublicense, sell, assign, lease, rent, distribute, or otherwise grant rights to the Hectovault Materials or Services to any third party;
Remove, hide, or modify any trademarks or intellectual property notices included in the Hectovault Materials or Services;
Alter, copy, tamper with, or create derivative works from any software within the Hectovault Materials; or
Reverse-engineer, disassemble, decompile, or use any process to access the source code of any software included in the Hectovault Materials or Services.

5. Service Levels (SLA)

Hectovault strives to maintain high service availability. However, we do not guarantee uninterrupted or error-free services.

6. Privacy and Confidentiality

6.1 Our Privacy Policy

6.2 Confidentiality

Hectovault agrees to maintain the confidentiality of your data, except as required by law or outlined in our Privacy Policy.

7. Customer Obligations

7.1 Compliance with Laws

You agree to comply with all applicable laws and regulations while using Hectovault.

7.2 Prohibition on Tool/System Development

You may not use Hectovault to develop or enhance competing tools or systems.

7.3 Viruses and Vulnerabilities

You must not introduce viruses, malware, or vulnerabilities to the Website. Any detected threats may lead to immediate suspension.

7.4 Access and Responsibility

You are responsible for maintaining the confidentiality of your access credentials and ensuring that your account is not misused.

8. Duration and Termination

8.1 Duration

Your subscription is valid for the term agreed upon during sign-up.

8.2 Termination

Either party may terminate these Terms with written notice. On termination for any reason all rights granted to you in connection with the Service shall cease, you must immediately delete or remove the Services from your devices.

8.3 Suspension

Hectovault may suspend your access for breaches of these Terms or security concerns.

8.4 Consequences of Termination

Upon termination:

Access to Hectovault will be revoked.
Data export may be available for a limited time, subject to fees.
Outstanding fees must be settled immediately.

9. Changes to These Terms

Hectovault reserves the right to modify these Terms at any time. Changes will be communicated via email and eventually also by displaying in our Website. Continued use of the Services constitutes acceptance of the updated Terms.

Changes to these Terms which are (1) more favourable to you; (2) required by law; or (3) relating to the addition of a new service or extra functionality to the existing Service; or (4) any other change which neither reduces your rights nor increase your responsibilities, will come into effect immediately if they are stated in the change notice.

10. Payment

Payment terms, including billing cycles, fees, and refund policies, are outlined during subscription. Late payments may result in suspension or termination of access.

11. Limitation of Liability

11.1 Service "As Is"

The Services are provided "as is," with no guarantees regarding accuracy, reliability, or performance. Hectovalut makes no guarantees or warranties that the Services will be uninterrupted, error-free, or completely secure. The customer assumes all risks associated with use of the Services.

Hectovault is not responsible for errors in results, your reliance on outputs, or damages arising from the use of such results.

11.2 Exclusion of Indirect Damages

To the maximum extent permitted by applicable law, Hectovalut shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to loss of profits, revenue, business opportunities, goodwill, use, or data, whether incurred directly or indirectly, arising out of or related to the use of or inability to use the services, regardless of the legal theory and even if Hectovalut has been advised of the possibility of such damages.

11.3 Limitation of Liability

To the maximum extent permitted by applicable law, Hectovalut's total liability for any claim, loss, or damage arising out of or in connection with these Terms of Use or the use or performance of the Services shall not exceed the total amount of fees paid by you to Hectovalut for the services during the preceding 12 months from the date the claim arose. If no such fees have been paid, Hectovalut's total liability shall not exceed 25,000.00 EUR.

11.4 Exclusions and Exceptions

The limitations and exclusions in this clause do not apply to the extent prohibited by applicable law or to liability arising from:

Gross negligence or willful misconduct of Hectovalut;
Death or personal injury caused by Hectovalut's negligence; or
Fraud or fraudulent misrepresentation.

11.5 Acknowledgement of Risk

You acknowledge and agree that the fees charged for the Services reflect the allocation of risk set forth in this Limitation of Liability clause and that Hectovalut could not provide the Services at the same pricing without such limitations.

11.6 No Responsibility for Third-Party Products or Services

Hectovalut disclaims any liability for issues arising from third-party products, services, or integrations that may interact with the Hectovalut Services. The use of such third-party solutions is at the yours own risk and subject to the terms of those third parties.

12. Warranties and Disclaimers

Hectovault makes no warranties regarding:

Accuracy, timeliness, or reliability of the Services.
Uninterrupted or error-free operation of the Services.
The absence of harmful components in the Services.

13. Force Majeure

Hectovault is not liable for delays or failures caused by events beyond its reasonable control, including natural disasters, labor disputes, or government actions.

15. Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Estonia. Any disputes arising out of or in connection with these Terms of Use shall be subject to the exclusive jurisdiction of the courts of Estonia.

16. Publicity

You agree that Hectovault may use your logo or name in marketing materials to promote the Services.

17. General

17.1 Entire Agreement

These Terms constitute the entire agreement between you and Hectovault.

17.2 Severability

If any provision is deemed invalid, the remaining provisions shall remain in effect.

17.3 No Waiver

Failure to enforce any provision does not constitute a waiver.

17.4 No Agency

These Terms do not create a partnership or agency relationship between you and Hectovault.

17.5 No Assignment

You may not assign these Terms without prior written consent from Hectovault.

17.6 Third-Party Rights

No third party has rights under these Terms.
